Terms and Conditions
These Terms and Conditions govern your access to and use of Arohaan Talent Partners' website and recruiting, staffing, and search services. Please read them carefully before using our services.

1. Acceptance of Terms
By accessing or using the website, forms, or services of Arohaan Talent Partners ("Arohaan Talent Partners," "Arohaan," "the Company," "we," "us," or "our"), including as a client seeking to hire ("Client") or a candidate seeking employment opportunities ("Candidate"), you ("you" or "User") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue use of our website and services.
We reserve the right to refuse service, terminate access, or cancel engagements, at our sole discretion, to anyone for any reason at any time, subject to applicable law.
2. Description of Services
Arohaan Talent Partners provides executive search, permanent placement, contract staffing, and recruitment process outsourcing (RPO) services (collectively, the "Services") to Clients, and facilitates introductions between Clients and Candidates. We act solely as an intermediary and facilitator in the hiring process. Arohaan Talent Partners is not a party to, and assumes no responsibility or liability for, any employment, contractor, or other agreement entered into between a Client and a Candidate.
All Services are provided on an engagement-by-engagement basis and may be subject to a separate written services agreement, statement of work, or fee agreement, which shall control in the event of any conflict with these Terms.
3. Eligibility and Accurate Information
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity and authority to enter into these Terms, and, where applicable, to bind the organization on whose behalf you are acting. You agree to provide true, accurate, current, and complete information when submitting any form, resume, job requisition, or other content to us, and to promptly update such information as necessary. You are solely responsible for the accuracy of any resume, work history, credentials, references, or job description you submit.
4. No Guarantee of Outcomes
WHILE WE USE COMMERCIALLY REASONABLE EFFORTS TO IDENTIFY QUALIFIED CANDIDATES AND SUITABLE OPPORTUNITIES, Arohaan Talent Partners DOES NOT GUARANTEE THAT ANY CLIENT WILL HIRE ANY CANDIDATE, THAT ANY CANDIDATE WILL RECEIVE OR ACCEPT AN OFFER, THAT ANY PLACEMENT WILL RESULT IN LONG-TERM OR SATISFACTORY EMPLOYMENT, OR THAT ANY PARTICULAR TIMELINE, SALARY, OR OUTCOME WILL BE ACHIEVED. All hiring, compensation, and employment decisions are made solely and independently by the Client. Any performance statistics, placement rates, time-to-hire figures, testimonials, or similar metrics referenced on our website are illustrative, historical, and not a guarantee of future results for any specific engagement.
5. Client Obligations
Clients are solely responsible for: (a) making all final hiring, compensation, and employment decisions; (b) independently verifying any Candidate's credentials, background, work authorization, references, and suitability prior to extending an offer; (c) complying with all applicable employment, labor, immigration, wage-and-hour, anti-discrimination, and data protection laws; (d) timely payment of all fees owed under the applicable services agreement; and (e) providing accurate job requirements. Arohaan Talent Partners performs reference and background checks as described in the applicable services agreement but does not warrant the completeness or accuracy of information obtained from third parties, including candidates and their references.
6. Candidate Obligations
Candidates agree to provide accurate and truthful information regarding their qualifications, work history, and eligibility to work, and to conduct themselves professionally throughout the interview and placement process. Submission of a resume or application does not guarantee consideration for any specific role, an interview, or a placement. Arohaan Talent Partners does not charge Candidates any fee for our standard placement services; our fees are paid by Clients unless otherwise disclosed in writing.
7. Fees, Payment, and Refunds
Fees for Services are set out in the applicable services agreement, engagement letter, or fee schedule agreed to by the Client. Unless otherwise agreed in writing, invoices are due within thirty (30) days of the invoice date, and late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs, including attorneys' fees.
Any replacement guarantee (for example, a 90-day replacement guarantee referenced on our website) applies only to permanent placements, is subject to the specific conditions set out in the applicable services agreement, and is void if the Candidate's departure results from factors outside our control, including but not limited to a change in role scope, workplace conditions, compensation, or a reduction in force by the Client. All fees are non-refundable except as expressly stated in a signed services agreement.
8. Confidential Information
Each party may receive confidential or proprietary information of the other party in connection with the Services ("Confidential Information"). Each party agrees to use the other's Confidential Information solely to perform its obligations or evaluate opportunities under these Terms, to protect it using at least a reasonable degree of care, and not to disclose it to third parties except as required by law or with the disclosing party's prior written consent. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was rightfully known prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.
9. Intellectual Property
All content on our website, including text, graphics, logos, the Arohaan Talent Partners name and marks, images, software, and the compilation and arrangement thereof, is the property of Arohaan Talent Partners or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our website without our prior written consent, except for personal, non-commercial use in connection with evaluating our Services.
10. Acceptable Use
You agree not to: (a) use our website or Services for any unlawful purpose or in violation of these Terms; (b) submit false, misleading, or fraudulent information; (c) attempt to gain unauthorized access to our systems, accounts, or data; (d) interfere with or disrupt the operation of our website; (e) scrape, harvest, or otherwise collect information about other Users without consent; (f) circumvent Arohaan Talent Partners to solicit or place a Candidate introduced by us without fulfilling applicable fee obligations during the period specified in the applicable services agreement; or (g) use our Services to discriminate against any Candidate on the basis of any legally protected characteristic.
11. Third-Party Links and Content
Our website may contain links to third-party websites or resources. We do not control and are not responsible for the content, accuracy, or practices of any third-party site. Inclusion of any link does not imply endorsement. Your use of third-party websites is at your own risk and subject to the terms and privacy policies of those sites.
12. Disclaimer of Warranties
YOUR USE OF OUR WEBSITE AND SERVICES IS AT YOUR SOLE RISK. THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY OF INFORMATION. AROHAAN TALENT PARTNERS DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AROHAAN TALENT PARTNERS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES, ANY PLACEMENT OR FAILURE TO PLACE, ANY EMPLOYMENT DECISION MADE BY A CLIENT, OR ANY CONDUCT OF A CANDIDATE OR CLIENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE APPLICABLE CLIENT TO AROHAAN TALENT PARTNERS FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND SHALL SURVIVE ANY TERMINATION OF THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless Arohaan Talent Partners, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the website or Services; (b) your violation of these Terms; (c) any information, resume, job description, or content you submit; (d) any employment, contractor, or other decision or action taken by a Client or Candidate; or (e) your violation of any applicable law or the rights of a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services.
15. Term and Termination
These Terms remain in effect for as long as you use our website or Services. We may suspend or terminate your access to our website or Services at any time, with or without cause or notice, including for any actual or suspected violation of these Terms. Any provisions of these Terms which by their nature should survive termination (including without limitation Sections 4, 6 through 9, and 12 through 18) shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. Subject to Section 17 (Dispute Resolution), you agree that any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
17. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY, AS IT AFFECTS YOUR LEGAL RIGHTS. Except for claims that qualify for small claims court or claims for injunctive relief to protect intellectual property or Confidential Information, you and Arohaan Talent Partners agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding, individual arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its applicable rules, rather than in court, except that either party may bring an individual action in small claims court.
YOU AND AROHAAN TALENT PARTNERS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Any arbitration will be conducted on an individual basis only. If this class action waiver is found unenforceable as to a particular claim or dispute, that claim or dispute will proceed in a court of competent jurisdiction as set out in Section 16, and all other claims remain subject to arbitration.
18. Force Majeure
Arohaan Talent Partners shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disaster, pandemic, war, terrorism, riot, labor dispute, governmental action, internet or utility failure, or other force majeure event.
19. Severability; No Waiver; Assignment
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its intent. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
20. Entire Agreement; Changes to These Terms
These Terms, together with our Privacy Policy and any signed services agreement applicable to your engagement, constitute the entire agreement between you and Arohaan Talent Partners regarding your use of the website and Services, and supersede all prior or contemporaneous agreements on the subject. We may revise these Terms from time to time by posting an updated version on our website with a new "last updated" date. Your continued use of the website or Services after any such change constitutes your acceptance of the revised Terms.
